We are BREADWIN SOFTWARE DEVELOPMENT SERVICES, doing business as Snaptrail ('Company', 'we', 'us', or 'our'), a company registered in the Philippines at Urban Deca Homes Ortigas, Ortigas Extension, Pasig, Metro Manila 1609.

We operate the website https://snaptrail.app (the 'Site'), the mobile application Snaptrail (the 'App'), as well as any other related products and services that refer or link to these legal terms (the 'Legal Terms') (collectively, the 'Services').

Snaptrail is a mobile application designed to help users capture and share their travel experiences. Through Snaptrail, you can create personalized photo albums, highlight your journey, maintain a travel journal, and share detailed itineraries with others. Users can upload photos and videos, add descriptive notes, and connect with a community of fellow travellers. Snaptrail is your companion for preserving memories and inspiring others with your travel adventures.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ('you'), and BREADWIN SOFTWARE DEVELOPMENT SERVICES, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the 'Last updated' date of these Legal Terms, and you waive any right to receive specific notice of each such change.

The Services are intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

2. Intellectual Property Rights

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the 'Content'), as well as the trademarks, service marks, and logos contained therein (the 'Marks').

Our Content and Marks are protected by copyright and trademark laws and treaties in the Philippines and around the world. The Content and Marks are provided in or through the Services 'AS IS' for your personal, non-commercial use or internal business purpose only.

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks. Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

3. User Representations

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not under the age of 13; (5) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Services; (6) you will not access the Services through automated or non-human means; (7) you will not use the Services for any illegal or unauthorised purpose; and (8) your use of the Services will not violate any applicable law or regulation.

4. User Registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. Subscriptions and In-App Purchases

Snaptrail offers subscription plans, currently Pro Lite, Pro, and Pro Explorer, to enhance your app experience with additional features and functionalities, including Credits and an ad-free experience. The features, Credits, and price of each plan are described in the App at the time of purchase. All subscriptions are managed through third-party platforms, specifically Google Play for Android users and the Apple App Store for iOS users.

Subscription Payments: All payments for Snaptrail subscriptions are processed through the payment platforms provided by Google Play and the Apple App Store. Payment will be charged to your Google Play or Apple ID account at confirmation of purchase. Snaptrail does not have access to your payment information.

Subscription Renewal: Subscriptions will automatically renew at the end of each billing cycle, for the same duration and at the then-current price, unless auto-renewal is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

Managing Your Subscription: You may manage your subscription and turn off auto-renewal at any time in your Google Play or Apple ID account settings after purchase. Deleting the App or your Snaptrail account does not cancel your subscription.

Cancellation: You may cancel your subscription at any time directly through Google Play or the Apple App Store. Cancelling your subscription will prevent the next billing cycle from being charged, but it will not retroactively refund the current subscription period. You will continue to have access to your subscription benefits until the end of the period for which you have paid.

Free Trials: Where a free trial is offered, any unused portion of the free trial period will be forfeited when you purchase a subscription.

Refunds: Refunds for subscriptions are governed by the policies of Google Play and the Apple App Store.

Changes to Plans: Snaptrail reserves the right to modify or discontinue subscription plans at any time. You will be notified in advance and will have the option to accept the changes or cancel.

Credits: Certain features of the Services, including our artificial intelligence features, require credits ('Credits'). Credits may be purchased as in-app purchases through Google Play or the Apple App Store, included with a subscription plan at the start of each billing cycle, or granted to you free of charge from time to time at our discretion.

Use of Credits: Credits are deducted from your balance when you use a feature that requires them. The number of Credits deducted may vary depending on the feature used and the extent of your use. Certain limited uses of the Services may not require Credits. You may not use a feature that requires Credits if your balance is insufficient.

Nature of Credits: Credits have no monetary value and do not constitute currency or property of any kind. Credits may not be redeemed or exchanged for cash, and may not be sold, transferred, or assigned to any other person or account. Credits represent a limited, non-transferable, revocable licence to use certain features of the Services.

Credit Refunds: Except as required by applicable law or by the policies of Google Play or the Apple App Store, all purchases of Credits are final and non-refundable. Refunds, where available, are governed by the policies of Google Play and the Apple App Store.

Changes to Credits: Snaptrail reserves the right to change the number of Credits required for any feature, the number of Credits included with any subscription plan or granted free of charge, and the price of Credits, at any time. Any unused Credits will be forfeited if your account is terminated or deleted.

6. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

Use Snaptrail for any unlawful or prohibited purpose
Upload, share, or disseminate harmful, threatening, abusive, or otherwise objectionable content
Impersonate any person or entity, or falsely represent your affiliation
Attempt to gain unauthorized access to any portion of Snaptrail or connected systems
Upload or distribute content that infringes upon intellectual property rights
Use automated means (bots, scrapers, spiders) to access Snaptrail
Attempt to bypass or circumvent any security features
Use Snaptrail for commercial purposes without written consent

7. User Generated Contributions

The Services may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials ('Contributions'). Contributions may be viewable by other users and through third-party websites. When you create or make available any Contributions, you represent and warrant that they do not infringe proprietary rights, you are the creator and owner, they are not false or misleading, and they do not violate any applicable law.

8. Contribution Licence

By posting your Contributions to any part of the Services, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and licence to host, use, copy, reproduce, disclose, sell, publish, broadcast, store, publicly perform, publicly display, reformat, translate, transmit, excerpt, and distribute such Contributions for any purpose.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights associated with them.

9. Mobile Application Licence

We grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless electronic devices owned or controlled by you, strictly in accordance with these Legal Terms.

10. Artificial Intelligence Features

The Services include features powered by artificial intelligence, including our travel assistant ('Remi'), trip planning, outfit suggestions, voice transcription, document and receipt scanning, Visa Guide, and Immigration Guide (collectively, 'AI Features'). Content generated by the AI Features ('AI Output') is produced automatically and may be inaccurate, incomplete, or out of date.

No Professional Advice: AI OUTPUT IS PROVIDED FOR GENERAL INFORMATION PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, IMMIGRATION, FINANCIAL, MEDICAL, OR OTHER PROFESSIONAL ADVICE. Visa, entry, and immigration requirements change frequently and depend on your individual circumstances. You must confirm all visa, entry, and immigration requirements with the relevant embassy, consulate, or government authority before making any travel arrangements or submitting any application. We are not responsible for any decision made by any government authority, including the refusal of a visa or of entry to any country.

Your Inputs: You are solely responsible for the content you submit to the AI Features, including messages, voice recordings, photos, and documents. You represent and warrant that you have all rights and permissions necessary to submit such content, including any personal information or documents relating to other persons. Content you submit to the AI Features is processed by our third-party artificial intelligence service providers as described in our Privacy Policy.

Voice Notes: When you dictate a voice note, your recording is transcribed into text by artificial intelligence and, at your request, the text may be refined into a journal entry. Transcriptions and refined text may not accurately reflect what you said, and may omit, add, or alter words or meaning. You should review all transcribed and refined text before saving, sharing, or relying on it.

Your Use of AI Output: You are solely responsible for your use of any AI Output and for evaluating its accuracy and suitability for your purposes. You agree not to use the AI Features to generate any content that is unlawful, harmful, or that violates these Legal Terms.

11. Hangouts and Events

The Services allow users to create, publish, and join hangouts and events ('Hangouts'). The details of a Hangout, including its title, description, date, venue, and organiser, are visible to other users of the Services. Hangouts are Contributions and are subject to these Legal Terms.

Organisers: If you create a Hangout, you represent and warrant that its details are accurate and not misleading, that the Hangout and its venue are lawful, that you have any permission required to hold the Hangout at its venue, and that you will promptly update or cancel the Hangout if its details change. You may not use Hangouts to advertise or sell goods or services without our prior written consent, to collect personal information from other users, or to organise any activity that is unlawful, dangerous, discriminatory, or of a sexual nature.

Participants: When you join or attend a Hangout, you agree to treat other users with respect and to comply with all applicable laws and with any reasonable rules of the venue. You must not harass, threaten, or harm any other user.

Your Safety: We do not organise, supervise, verify, or endorse any Hangout, its organiser, its participants, or its venue, and we are not a party to any arrangement between users. You are solely responsible for your interactions with other users, both on and off the Services. Please use caution and common sense when meeting people you do not know, including meeting in public places and letting someone you trust know your plans. TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY LOSS, DAMAGE, INJURY, OR CLAIM ARISING FROM ANY HANGOUT OR FROM YOUR INTERACTIONS WITH OTHER USERS.

Reporting: If you believe a Hangout or a user is in breach of these Legal Terms, please report it to us at hello@snaptrail.app. We may remove any Hangout, and suspend or terminate any account, at our sole discretion.

12. Social Media

As part of the functionality of the Services, you may link your account with online accounts you have with third-party service providers. By granting us access to any Third-Party Accounts, you understand that we may access, make available, and store content from your Third-Party Account.

13. Third-Party Websites and Content

The Services may contain links to other websites as well as content belonging to or originating from third parties. Such Third-Party Websites and Content are not investigated, monitored, or checked for accuracy by us, and we are not responsible for them.

14. Advertisers

We allow advertisers to display their advertisements and other information in certain areas of the Services. We simply provide the space and have no other relationship with advertisers. Advertisements displayed in the App may be personalised, as described in our Privacy Policy.

15. Services Management

We reserve the right to monitor the Services for violations, take appropriate legal action, restrict access, remove content, and otherwise manage the Services to protect our rights and facilitate proper functioning.

16. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy. The Services are hosted in the Philippines.

17. Copyright Infringements

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately notify us.

18. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. WE RESERVE THE RIGHT TO DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS.

19. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times.

20. Governing Law

These Legal Terms shall be governed by and defined following the laws of the Philippines. BREADWIN SOFTWARE DEVELOPMENT SERVICES and yourself irrevocably consent that the courts of the Philippines shall have exclusive jurisdiction.

21. Dispute Resolution

The Parties agree to first attempt to negotiate any Dispute informally. Any dispute arising out of or in connection with these Legal Terms shall be referred to and finally resolved by the courts of Philippines. The seat of arbitration shall be Pasig City, Philippines. The language of the proceedings shall be English.

22. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update the information at any time, without prior notice.

23. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.

24. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU DURING THE THREE (3) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

25. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand arising out of your Contributions, use of the Services, breach of these Legal Terms, or your violation of the rights of a third party.

26. User Data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services. You are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.

27. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.

28. Miscellaneous

These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision.
